These Terms & Conditions (the "T&C") applies with respect to the upskilling services offered by SparkXLearn ("Company", "we", "us", or "our"), a company providing online education and training services.

The Company conducts its business under the brand titled "SparkXLearn". These T&C shall apply to mobile apps, WhatsApp groups, Facebook groups, Instagram pages, Facebook pages, email/SMS/phone communications and other communication forums/media hosted by the company. Your usage of the SparkXLearn's Services (defined hereinafter) is subject to your explicit acceptance of these T&Cs. The terms contained in our privacy policy available at Privacy Policy, or any other policy are incorporated into these T&C. Your acceptance of the same will irrevocably and unconditionally bind you to comply with and abide by all the obligations and conditions stipulated herein (unless otherwise explicitly made optional). After your initial confirmation/consent, you will be assumed to continue consenting to these T&C until you explicitly withdraw your consent by notifying the company of the same in writing. If an executed agreement exists between you and SparkXLearn in relation to the Services, any deviations from these T&C shall only apply when explicitly agreed in writing between the parties to such an agreement.

T&C Updation or Modification

These T&C may be updated, amended, modified or revised by us from time to time. Each such updation or modification to the T&C will be marked with Date of Updation on this page itself. Your continued use of the SparkXLearn Services after any such changes shall constitute your consent to such changes. We encourage you to refer to these T&C from time to time to ensure that you are aware of any additions, revisions, amendments or modifications that we may have made.

Service(s) provided to Users

SparkXLearn allows its users to access (in Online / Offline Mode) various mentorship / training programs on (but not limited to) Tech / Non-tech Domains designed by SparkXLearn for Career Aspirants from across the sectors and work backgrounds including Data Analytics, Digital Marketing, Software Development, Web Development, Cyber Security or any other program that SparkXLearn introduces from time to time (hereinafter collectively referred to as "Service(s)" or "SparkXLearn Service(s)" and each of these training programs shall be referred to as a "Program" and collectively as "Programs").

SparkXLearn reserves the right, in its sole discretion, to add, change, suspend, or discontinue all or any part of the Services at any time. Your continued use of SparkXLearn Services following the posting of any changes to the same (including the addition or removal of features) constitutes your acceptance of those changes. Any information you provide to us for the purposes of registering and setting up your account (as specified below) shall be considered as accurate, complete and updated. You are solely responsible for the activity that occurs on your account (including those of others authorised to access and operate your account) and for maintaining the security of your account and any information you input. We are not responsible for the accuracy or legitimacy of any information, data, or User Data uploaded or posted after enrolling or subscribing to our Services. For the purposes of clarity, as long as your account is accessed with the correct login credentials and unless you notify us of any unauthorised access, you shall be solely responsible for all actions/defaults related to your account.

In consideration of your acceptance of these T&C and if applicable, any subscription agreement (or any other similar agreement) executed between you and SparkXLearn, SparkXLearn grants the user a personal, non-exclusive, non-transferable, non-sublicensable, revocable limited licence to access the Services, in accordance with the T&C.

Access to SparkXLearn resources

During your time with SparkXLearn, you would have access to multiple resources that help you learn better. The access policy may vary across those.

Following is the policy for each of those resources:

• Cohort: SparkXLearn does not claim to offer 1-1 Mentorship. Rather the company offers its services and programs in a Cohort or Batch mode via Online & Offline channels.
• Program Resources: SparkXLearn Services involves various Cohort-based Mentorship Programs / Masterclasses / Online or Offline Trainings etc wherein the company offers comprehensive package of resources including Live Mentor-led Sessions, Recorded Videos, Assignments, Assessments, Quizzes, Cheatsheets, Notes etc according to the need & design of the Programs subject to changes and modifications as deemed required by the company from time-to-time without any public declaration.
• Recording of mentor sessions / Recording of masterclasses: We guarantee access to all recordings till 6 months post-completion of your last mandatory class with SparkXLearn (as part of the program you joined), provided that, if there are any unforeseen circumstances, we will give you a 30-day prior intimation. SparkXLearn may at its discretion extend the access period beyond 6 months as well, if it deems fit.
• Mentors: SparkXLearn Programs are designed and delivered by Mentors who are qualified professionals & domain experts. You will have access to scheduled live cohort sessions led by mentors via LMS Platform. You cannot access any mentor session before it has gone live streamed after which it's recording shall be made available.
• Delivery Support: A dedicated delivery support executive (DSE) is available to you throughout your SparkXLearn journey to help with concerns wrt class quality, mentor feedbacks, due fee clearances, tech issues or any feedback or request regarding Program. Company shares the contact details of this support executive via Cohort-specific community for program student has enrolled into. DSE shall be primary contact for the above mentioned communications and students shall not reach out to other executives unless required for specific concerns not attended by DSE.
• Community Groups: Every student is added to the Cohort-specific communities at Discord & Whatsapp for seamless communications, discussion and relay of crucial program-related updates. At these communities you will find help from peers / other students (Disclaimer: SparkXLearn does not guarantee a response from other students/peers). You will continue to have access to few community groups created by SparkXLearn forever (unless for some reason, the LMS Platforms themselves cease to exist)
• Resource Access: You will continue to have access to all program resources hosted at LMS for additional 6 months from the date of completion of the program, after which limited program resources shall be available. In an unforeseen circumstance where SparkXLearn might have to revoke access to this data, you will be given a 30-day notice.
• Career Support Services: Students at SparkXLearn are prepared and mapped to relevant job & placement opportunities through the following channels:
  • Job Readiness Support: For programs like Data Analytics, SparkXLearn rolls a dedicated 7-days Pre-placement Program i.e. Last Mile Prep wherein students are offered services and support like Resume Optimisation, Linkedin Profiling, Mock Interviews*, Portfolio Building etc.
  • Students must attend at least 70% Live Sessions (Attendance) & Program Completion in all respects (either Online/Offline mode) to become eligible for Job-Readiness Support. Failing to score 70% attendance, a student shall be graduated with Certificate of Completion.
  • Mock Interviews through Experts*: Every student enrolled in specific SparkXLearn programs like Data Analytics, can take a total of 3 mock interviews through Domain Experts. Simulating the real interview scenarios, these mock interviews can be taken till 3 months post-completion of your last mandatory class. This means student has the liberty to schedule mock interviews and it is not mandatory to consume all 3 Mock Interview slots during 7-days Last Mile Prep itself.
  • Every student gets to create a free profile / portfolio on SparkXLearn LMS Platform with a unique link for Student Portfolio at SparkXLearn Official Domain. The Company shall host this portfolio link as long as it is in operation. In an unforeseen circumstance where SparkXLearn might have to revoke access to this data, students will be given a prior notice.
  • Community groups where SparkXLearn alumni/peer/mentor might post job opportunities.

User Conduct and Responsibilities

You agree to use the Services only for lawful purposes and in accordance with these T&C. You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit any harmful, offensive, or inappropriate content
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any portion of the Services
• Use automated systems to access the Services without permission
• Share your account credentials with others
• Copy, reproduce, or distribute any content from the Services without authorization

Payment and Fees

All fees for the Programs are payable in advance. By making a payment, you agree to:

• Pay the fees as specified for the Program
• Provide accurate payment information
• Authorize us to charge your payment method
• Understand that all sales are final as per our Refund Policy

SparkXLearn reserves the right to change its fees at any time. However, any fee changes will not affect Programs you have already purchased.

Intellectual Property Rights

All content on SparkXLearn, including but not limited to text, graphics, logos, images, audio clips, digital downloads, course materials, videos, and software, is the property of SparkXLearn or its content suppliers and is protected by international copyright laws. You may not copy, reproduce, distribute, modify, create derivative works, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without prior written consent from SparkXLearn.

Certificates and Credentials

SparkXLearn may provide certificates of completion or other credentials upon successful completion of a Program, subject to meeting all Program requirements. SparkXLearn may decide at its sole discretion whether to provide a record or transcript concerning a Student's performance in a Program. The format of any certificate, credential or other acknowledgement, and of any performance, provided by SparkXLearn relating to a Program will be determined by SparkXLearn at its sole discretion and may vary as per the Program.

Affiliation & Accreditation

SparkXLearn has no obligation to have the SparkXLearn Services, SparkXLearn Content, Programs or Program Certificates recognized by or affiliated to any educational institution or accreditation organization. SparkXLearn provides upskilling services through the Industry-curated Professional Programs hosted at SparkXLearn's LMS Platform. The LMS Platform or the company - SparkXLearn MUST NOT be construed as a university. The Students / Users understand and acknowledge that SparkXLearn cannot award certificates which are recognised by any regulatory body such as the All India Council for Technical Education or University Grants Commission.

It is the sole responsibility of the Student enrolling into a Program to check the accuracy of, and evaluate the suitability and relevance of, the Program elected. The enrolment into a Program is non-transferable.

You acknowledge that certain parts of the LMS Platform may be enabled by third-party service providers, and you agree to abide by their terms and conditions to the extent such terms are applicable to you. SparkXLearn shall not be responsible for any disruption of SparkXLearn Services caused by any such third-party service provider.

Disclaimer of Warranties

The materials on SparkXLearn's website are provided on an 'as is' basis. SparkXLearn makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Limitation of Liability

In no event shall SparkXLearn or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on SparkXLearn's website or Services, even if SparkXLearn or a SparkXLearn authorized representative has been notified orally or in writing of the possibility of such damage.

Indemnification

You shall defend, indemnify, and hold harmless SparkXLearn, its affiliates, subsidiaries and each of its, and its affiliates' and subsidiaries' employees, contractors, directors, suppliers and representatives from all liabilities, losses, claims, and expenses, including reasonable attorneys' fees, that arise from or relate to (i) your use or misuse of, or access to, the LMS Platform, Communities and/or SparkXLearn Services; (ii) your violation of the T&C or any applicable law; (iii) your violation of any rights of a third party in relation to the usage of the LMS Platform. We reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with us in connection therewith.

Governing Law

The T&C shall be governed by and construed in accordance with the laws of India without regard to the conflict of laws provisions thereof. All claims, differences and disputes arising under or in connection with or in relation hereto the SparkXLearn Services, the T&C or any transactions entered into on or outside the LMS Platform shall be subject to the exclusive jurisdiction of the Bihar courts and you hereby accede to and accept the jurisdiction of such as a bihar india court

Miscellaneous

• If any provision of the T&C is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the T&C will otherwise remain in full force and effect and enforceable.
• Any failure by SparkXLearn to enforce any right or failure to act with respect to any breach by you under the T&C shall not be construed as, or constitute, a continuing waiver of such provision, or a waiver of any other breach of or failure to comply with any other provision of the T&C, unless any such waiver has been consented to by us in writing.
• The T&C is personal to you and is not assignable or transferable by you except with SparkXLearn's prior written consent. SparkXLearn may assign, transfer or delegate any of its rights and obligations hereunder without your consent.
• No agency, partnership, joint venture, or employment relationship is created as a result of the T&C and neither party has any authority of any kind to bind the other in any respect in relation to any third party.
• All notices under the T&C will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; or two days after it is sent, if sent for next day delivery by recognized overnight delivery service.
• SparkXLearn shall not be liable for failure to perform, or the delay in performance of, any of its obligations if, and to the extent that, such failure or delay is caused by events substantially beyond its control, including but not limited to acts of God, acts of the public enemy or governmental body in its sovereign or contractual capacity, war, terrorism, floods, fire, strikes, pandemics, epidemics, civil unrest or riots, power outage, and/or unusually severe weather.
• By accepting the T&C through your enrollment with SparkXLearn Programs or/and use of SparkXLearn's LMS Platform, you certify and acknowledge that you are 18 years of age or older. By using SparkXLearn's Services, you represent and warrant that you have the right, authority, and capacity to enter into this T&C and to abide by all of the terms and conditions set forth herein.

Grievances

In the event you have any queries/complaints regarding usage of the LMS Platform, including but not limited to reporting any violation of these Terms of Service, please contact our grievance officer at support@sparkxlearn.com. The complaints will be redressed in the manner provided under the Information Technology Act, 2000 and rules framed thereunder.

Definitions

The following defined terms having their respective meanings as provided below have been used in these T&C:

• "Student" "You" "Learner" refers to any user who has paid for any of the Programs offered by SparkXLearn and hosted on LMS Platform;
• "LMS Platform" shall mean the websites hosted by parent domain www.sparkxlearn.com or/and any third party LMS Platform (including chat groups, SparkXLearn hosted social media forums/pages, communities and webpages) which may allow you to access and/or use the SparkXLearn Program Content & Services via any other device/medium;
• "SparkXLearn Content" means and includes all questionnaires, interview ideas, study/course material in any format, ideas, concepts, systems, LMS Platforms, software, interfaces, tools, utilities, templates, forms, techniques, design formats, methods, processes, algorithms, know-how, trade secrets, and other technologies and information acquired, created, developed or licensed independently by us, prior to or outside the scope of these T&C and any improvement, modification, extension or other derivative works thereof and all intellectual property rights thereto. SparkXLearn Content excludes all User Data;
• "User Data" means all electronic data, information, or other content submitted or provided by a User to be stored, collected or processed by us in connection with such User's authorised use of the SparkXLearn Services;
